A One of a Kind Dental Practice Resource

Smart Doctor CEO by Berning & Affiliates  has a back story, just like every other successful company. In our case, the back story is that Berning & Affiliates has participated in and advanced the knowledge and practice of associateships, partnerships and practice valuation over the last 30 years.

In the early 1980’s dentistry was starting to see an increase in young doctors looking to be associates or partners. There were more graduates than in previous decades and they were searching to enter practice. Practice owners were also interested in the prospective associates since they were encountering increased patient flow. Although the owners were interested in a potential associate, they were unfamiliar with how to develop the practice relationship. Dr. Michael Perich, Associate Excutive Director, ADA under Thomas Ginley, Executive Director and at the request of the Council on Dental Practice wanted to have expanded materials available to dentists to guide them on associateships and practice valuation. Randall Berning, JD, LLM, with diverse legal experience including as a former Illinois Assistant Attorney General, Hearing Officer and private law practice, and a consulting background in dental practice administration and transfers along with Larry Domer, MBA, DBA, Professor of Practice Administration at the University of Colorado School of Dentistry, received the contract from the ADA to develop the material. The two publications, since 1988, have had six revisions, all co-authored by Randall Berning. They remain two of the ADA’s top sellers and have helped countless dentists. During the same period Dr. Domer and Mr. Berning provided five years of programs, Do’s and Don’t’s of Associateship and Dental Practice Financing and Debt Management. Many additional presentations to annual meetings, educational activities and articles followed.

The above actions by the ADA and the writing and lecturing that followed opened the door for Mr. Berning and his company to service the thousands of doctors across the country that had questions and sought legal and consulting guidance related to developing their practices.

Berning & Affiliates developed significant understanding and expertise relating to both general and specialty dental practice. Randall Berning served in adjunct academic positions in dental schools and those experiences further refined his understanding of dentists and dental practice. In many ways the firm used the various experiences to advance the knowledge base of both the general dental profession and specialty practices relating to associateships, partnerships, purchase and sale of practices, valuation and strategic planning for growth and development.

Today, the firm is dedicated to sharing the expert knowledge it has and making available other knowledgeable experts and their information to help dentists and dental specialists. Our goal today is to provide expert guidance with downloadable resources on our Store.

Brief Bio Statement

Randall Berning is a health care attorney, consultant, speaker, author, eduator and President of Berning & Affiliates, Inc. He has provided dentists and dental specialists with publications and specific practice plans to implement vision, practice growth, profitability and practice transition for more than 30 years. Mr. Berning is the co-author of two ADA publications Associateships and Valuing A Practice, the co-author of AAO materials on valuation and practice financing and the Editor and Publisher of The Expert Series for Dentists. A frequent speaker, he has presented at numerous Annual Sessions. He is past Adjunct Professor of Dental Jurisprudence and Director of Practice Administration at the University of Illinois, College of Dentistry and past adjunct faculty at UCSF School of Dentistry and the University of Maryland Baltimore College of Dental Surgery. Prior to entering private practice Mr. Berning served as an Assistant Attorney General for the State of Illinois.

Healthcare Attorney ■ Mr. Berning is licensed to practice law in Illinois and the District of Columbia. Before entering private practice, he served as an Illinois Assistant Attorney General. He has concentrated his practice on legal, financial and practice management issues affecting dentists, dental schools, and health care providers. He is experienced in business and transactional matters, mergers, acquisitions, contract negotiations, planning for practice transition, succession and expansion. Mr. Berning received his Master of Laws in Health Law (LL.M.) from Loyola University of Chicago, School of Law in 1989. Among many activities, he served as a Trustee Advisor for the America’s Fund for Dental Health (1994-1995) and as a member of the American Dental Association (ADA) Blue Ribbon Editorial Advisory Panel. Mr. Berning participated in the American Association of Orthodontists’ Ethics Video (2000). Mr. Berning served as a member of the National Advisory Council for Nursing Research, Department of Health Human Services, NIH (1994-1998).

Healthcare Consultant ■ Mr. Berning is President of Berning & Affiliates, Inc. The firm maintains its national consulting offices in Naples, Florida. Since 1979 Mr. Berning and the firm have provided strategy and implementation for practice transition, vision building, strategic planning and professional services marketing for dentists and healthcare providers, dental schools and companies. He served as a Consultant to the ADA’s Council on Dental Practice (1987 – 2007).

Healthcare Educator & Speaker ■ Mr. Berning served as Adjunct Professor of Dental Jurisprudence and Director of Practice Administration at the University of Illinois at Chicago, College of Dentistry from 1993-2000. He was previously a Clinical Assistant Professor at the University of Maryland, Baltimore College of Dental Surgery and a Clinical Instructor at the University of California-San Francisco, School of Dentistry. As a speaker Mr. Berning has addressed audiences large and small throughout his career including annual meetings for dental specialty associations (for example, as of this writing the AAO and constituent association meetings on 20+ occasions, including serving on the planning committee, speaking at and moderating the CEO Conference in 2003 and 2006 and New York Regional CEO Conference in 2008), the ADA Annual Meeting, state associations, constituent societies, resident programs and study clubs. He was a ADA Success Seminar Lecturer (1991-2007) and he co-presented the ADA national seminar series topic “Do’s and Don’ts of Associateships and Practice Valuation” (1987-1992) and “Dental Practice Financing and Debt Management” (1989-1992). From 1988-1994 Mr. Berning presented the Dentistry and the Law Conference™, a national forum designed to address current legal issues confronting dentistry.

Healthcare Author ■ Mr. Berning has written over 150 articles and notes on topics of interest to dentists with articles in ADA News, Dental Practice Report, Dental Economics, Seminars in Orthodontics and others. He has served as an article reviewer for the Journal of the American Dental Association. Previously he has served as an Editorial Board Member for the Journal of Law and Ethics in Dentistry, the Journal of Dental Practice Administration, Healthcare Advertising Review, Dentist magazine and the Journal of Health Care Marketing. He co-authored the AAO’s monographs Guide to Orthodontic Practice Valuation for Residents and Practitioners and Guide to Financing the Orthodontic Practice for Residents and Practitioners for the Practice Alternatives binders (1998 and 1999). He co-authored the revision of the ADA’s publications: The ADA Practical Guide to Associateships: Success Strategies for Dentist-owners and Prospective Associates (1988, 1992, 1997, 2001, 2006 & 2013) and The ADA Practical Guide to Valuing a Practice: A Manual for Dentists (1989, 1992, 1997, 2001, 2006 & 2013). Mr. Berning was a contributing author to the California Dental Association’s publication A Guide for New Dental Practitioners (1997). He was the lead author of Volume VII of the C.V. Mosby Company’s Dental Practice Management series, entitled, Personalized Guide to Legal Issues (1985) . He authored two chapters for Clark’s Clinical Dentistry, Chapter 37A in 1993 “The Impact of Law on Current Dental Practice” and Chapter 15 in 1994 “Duty to Advise Patient to Consult Specialist”.
